These Terms of Use (“Terms of Use”) constitute a legally binding agreement between you (“Participating WorkSpace”) and Wanderworks Lab (“Wanderworks”). It governs your access to and use of Wanderworks’ technology platform and related products or services (“Platform”).  

By accessing or using this Platform, you agree to be bound by these Terms of Use. If you disagree with any part of these Terms of Use, please do not use this Platform. 

1. Modification of Terms: Wanderworks reserves the right to modify these Terms of Use at any time. We will notify you of any changes by posting a notice on this Platform or by sending you an email.  
   
2. User Account 
   1. To become a Participating WorkSpace and access certain features, you may be required to create a user account. You agree to provide accurate and up-to-date information. 
      
   2. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account.    
3. Obligations of Participating WorkSpaces 
   1. You agree to activate Passes presented to you and observe the benefits and conditions associated with each pass type as listed below: 
      1. Coworking Pass
         1. 4-hour use of space 
         2. Wi-Fi 
         3. Plug point 
         4. Drinking water 
      2. All-in Pass 
         1. 4-hour use of space 
         2. Wi-Fi 
         3. Plug point 
         4. Drinking water 
         5. RM25 spending credit 
            
   2. You agree to offer your space for use by Pass holders. Such space must be equipped with adequate seating, drinking water, power outlets, Wi-Fi access and/or such other amenities as you made known to the Platform at the time of signing up as a Participating WorkSpace or as may be required by the Platform from time to time.  
      
   3. You are responsible for ensuring that the information provided about your café is accurate and up-to-date. If there is any change, you must inform the Platform immediately.  
      
   4. You are responsible for maintaining the cleanliness and functionality of the co-working space. You agree to provide satisfactory customer service to Pass holders, addressing their needs and concerns promptly. 
      
   5. You must comply with all applicable laws, rules, regulations and guidelines, including health, safety, and licensing requirements. 
      
   6. You must implement any changes made to this programme by Wanderworks subject to a notice of seven (7) days being sent to you. 
      
4. Obligations of Platform 
   1. In consideration of Clause 3(b) above and subject to your observance of these Terms of Use, the Platform agrees to pay you a fee on a weekly basis by way of bank transfer. Such fee is to be determined by the Platform from time to time and communicated to you via WhatsApp or other messaging application. 
      
5. Data Privacy and Confidentiality
   1. You agree to the collection and use of your personal information as described in our Privacy Policy.  
      
   2. You must keep confidential all proprietary information, trade secrets and other confidential information of Wanderworks that you may acquire before, during and after becoming a Participating WorkSpace. You must not disclose such information to any third party without Wanderworks’ prior written consent. 
      
6. Intellectual Property: All content on this Platform, including text, graphics, logos, images and software, is the property of Wanderworks and is protected by intellectual property laws.    
   
7. Liabilities and Warranties 
   1. This Platform and its content are provided on an “as is” and “as available” basis. Wanderworks makes no representations or warranties of any kind as to the operation of the Platform and its content. You agree that your use of the Platform is at your sole risk. 
      
   2. You agree that any dispute in relation to the use of a Pass by any Pass holder at your café is to be resolved between you and the Pass holder. Wanderworks is not liable in any manner for any claims, damages, liabilities or expenses in relation to the use of a Pass by any Pass holder at any Participating WorkSpace, including but not limited to loss of business, property damage and/or personal injury.  
      
   3. Wanderworks is not liable for any indirect, incidental, special or consequential damages in relation to your use of this Platform.  
      
   4. You agree to indemnify Wanderworks from any claims, damages, liabilities or expenses in relation to your use of the Platform or violation of these Terms of Use. 
      
8. Termination 
   1. Wanderworks has the right to terminate your status as a Participating WorkSpace if your café or its personnel commits, or is investigated for, violation of any law.  
      
   2. In all other cases, Wanderworks or you may terminate your status as a Participating WorkSpace by giving seven (7) days’ written notice to the other party.  
      
9. Miscellaneous 
   1. Wanderworks shall not be liable for any failure or delay of service if such failure or delay is caused by a force majeure event. A force majeure event means any event beyond the reasonable control of a party, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labour strikes, government actions and pandemics. 
      
   2. These Terms of Use shall be governed by and construed in accordance with the laws of Malaysia.    
      
   3. Any dispute in connection with these Terms of Use shall be resolved amicably between the parties involved. If such effort is unsuccessful, parties agree to submit to the exclusive jurisdiction of the Malaysian courts. 
      
   4. Words importing the singular include the plural and vice-versa.
