These Terms of Use (“Terms of Use”) constitute a legally binding agreement between you (“Participating WorkSpace”) and Remote Work Malaysia. It governs your access to and use of Remote Work Malaysia’s technology platform and related products or services (“Platform”).

By accessing or using this Platform, you agree to be bound by these Terms of Use. If you disagree with any part of these Terms of Use, please do not use this Platform.

1. Modification of Terms: Remote Work Malaysia reserves the right to modify these Terms of Use at any time. We will notify you of any changes by posting a notice on this Platform or by sending you an email.

2. User Account

a. To become a Participating WorkSpace and access certain features, you may be required to create a user account. You agree to provide accurate and up-to-date information.

b. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account.

3. Obligations of Participating WorkSpaces

a. You agree to activate Passes presented to you and observe the benefits and conditions associated, including: use of space during stated remote work hours; Wi-Fi; plug point; drinking water; and an RM25 spending credit (if stated).

b. You agree to offer your space for use by Pass holders. Such space must be equipped with adequate seating, drinking water, power outlets, Wi-Fi access and/or such other amenities as you made known to the Platform at the time of signing up as a Participating WorkSpace or as may be required by the Platform from time to time.

c. You are responsible for ensuring that the information provided about your WorkSpace is accurate and up-to-date. If there is any change, you must inform the Platform immediately.

d. You are responsible for maintaining the cleanliness and functionality of your WorkSpace. You agree to provide satisfactory customer service to Pass holders, addressing their needs and concerns promptly.

e. You must comply with all applicable laws, rules, regulations and guidelines, including health, safety, and licensing requirements.

f. You must implement any changes made to this programme by Remote Work Malaysia subject to a notice of seven (7) days being sent to you.

g. Where your WorkSpace offers meeting-room booking through the Platform, you agree to honour confirmed bookings and to notify the Platform promptly of any change to room availability.

h. Where your WorkSpace offers a virtual office address through the Platform, you agree to provide virtual office service for registered users in accordance with terms to be agreed separately with the Platform.

i. Where a Pass holder brings a guest permitted under their plan, you agree to extend the same space access to that guest, without this affecting your other obligations under this Clause 3.

4. Fees payable by the Platform

4.1 In consideration of your obligations under Clause 3 and subject to your observance of these Terms of Use, the Platform will pay you a fee calculated in accordance with the rate card notified to you in writing. Fees accrue per Pass validly activated at your WorkSpace, as recorded by the Platform’s systems.

4.2 The Platform will send you a statement within seven (7) days of the end of each calendar month. You will issue an invoice for the amount stated, and the Platform will pay the undisputed amount of that invoice by bank transfer within fourteen (14) days of receiving it.

4.3 The Platform may change the rate card on thirty (30) days’ written notice. If you do not accept the change, you may terminate under Clause 8 before it takes effect.

4.4 You may keep records of Passes activated at your WorkSpace. The Platform’s records of Pass activations are conclusive in the absence of manifest error. Any query on a statement must be raised within thirty (30) days of the statement date, after which the statement is final.

4.5 Fees are exclusive of any applicable taxes, which you are responsible for accounting for. You are responsible for your own income tax and statutory contributions; nothing in these Terms of Use creates an employment, partnership or joint venture relationship.

5. Data Privacy and Confidentiality

You agree to the collection and use of your personal information as described in our Privacy Policy.

You must keep confidential all proprietary information, trade secrets and other confidential information of Remote Work Malaysia that you may acquire before, during and after becoming a Participating WorkSpace. You must not disclose such information to any third party without Remote Work Malaysia’s prior written consent.

6. Intellectual Property

6.1 All content on this Platform, including text, graphics, logos, images and software, is the property of Remote Work Malaysia and is protected by intellectual property laws.

6.2 You grant the Platform a non-exclusive, royalty-free licence to use your name, logo and images of your WorkSpace for the purpose of listing and promoting your WorkSpace on the Platform and in the Platform’s marketing, for the duration of these Terms of Use. You confirm you have the right to grant this licence.

6.3 The Platform grants you a non-exclusive, non-transferable, revocable licence to use the Platform’s name and logo solely to identify your WorkSpace as a Participating WorkSpace, in accordance with any brand guidelines notified to you. On termination you must immediately cease using the Platform’s name and logo and remove all signage, decals and online references.

7. Liabilities and Warranties

This Platform and its content are provided on an “as is” and “as available” basis. Remote Work Malaysia makes no representations or warranties of any kind as to the operation of the Platform and its content. You agree that your use of the Platform is at your sole risk.

You agree that any dispute in relation to the use of a Pass by any Pass holder at your WorkSpace is to be resolved between you and the Pass holder. Remote Work Malaysia is not liable in any manner for any claims, damages, liabilities or expenses in relation to the use of a Pass by any Pass holder at any Participating WorkSpace, including but not limited to loss of business, property damage and/or personal injury.

Our total aggregate liability to you arising out of or in connection with these Terms of Use, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the total amount you paid to us in the three (3) months immediately before the event giving rise to the claim, and (b) RM500. Nothing in these Terms of Use limits liability that cannot lawfully be limited, including liability for death or personal injury caused by our negligence or for fraud.

Remote Work Malaysia is not liable for any indirect, incidental, special or consequential damages in relation to your use of this Platform.

You agree to indemnify Remote Work Malaysia from any claims, damages, liabilities or expenses in relation to your use of the Platform or violation of these Terms of Use.

8. Termination

Remote Work Malaysia has the right to terminate your status as a Participating WorkSpace if your WorkSpace or its personnel commits, or is investigated for, violation of any law.

In all other cases, Remote Work Malaysia or you may terminate your status as a Participating WorkSpace by giving seven (7) days’ written notice to the other party.

9. Miscellaneous

Remote Work Malaysia shall not be liable for any failure or delay of service if such failure or delay is caused by a force majeure event. A force majeure event means any event beyond the reasonable control of a party, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labour strikes, government actions and pandemics.

These Terms of Use shall be governed by and construed in accordance with the laws of Malaysia.

Any dispute in connection with these Terms of Use shall be resolved amicably between the parties involved. If such effort is unsuccessful, parties agree to submit to the exclusive jurisdiction of the Malaysian courts.

Words importing the singular include the plural and vice-versa.
